Michael J. Berthelot
Michael Berthelot has served as CEO/Chairman of two publicly traded companies, TransTechnology Corporation (NYSE), a multinational aerospace and industrial products manufacturer, and Pro-Dex Inc. (NASDAQ), a manufacturer of surgical instruments. Mr. Berthelot currently serves as Lead Independent Director, Chair of the Compensation Committee, and member of the Audit Committee at Fresh Del Monte Produce Inc. (NYSE:FDP), a $4B consumer products company headquartered in Miami.
Since 2009, Mr. Berthelot has been an adjunct professor at the University of California San Diego Rady School of Management where he teaches “The Board, the CEO and Corporate Governance” in the MBA program. He also teaches the New Business Venture course as well as accounting principles, financial statement analysis and corporate governance at the in the Education Program for Scientists and Engineers at the UCSD Extension Institute. Mr. Berthelot frequently writes and speaks at national conferences on current issues for boards of directors and corporate governance.
During his 15 year tenure at TransTechnology, Mr. Berthelot oversaw a public stock offering and led its roadshow, managed more than 30 acquisitions and divestitures, syndicated bank and institutional credit lines, and managed a shareholder base including mutual funds, hedge funds, private equity and retail investors. During his three years at Pro-Dex, Mr. Berthelot led a turnaround and organizational restructuring resulting in the development of several new products.
Mr. Berthelot serves as an advisor to several start-ups in the software and biotech industries, including medical devices, pharmaceutical research, market research and machine learning, providing strategic, operational, finance, and accounting counseling.
He received a Bachelor of Science in Accounting from the University of Akron, Ohio and an MBA from Cleveland State University. Mr. Berthelot is a Certified Public Accountant, a qualified financial expert under Sarbannes-Oxley, and a former IRS agent. Mr. Berthelot served four years in the United States Coast Guard including a tour in Southeast Asia during the Vietnam War. He is married, lives in San Diego, California, and has six adult children.
