    Adam routinely assists public and private life sciences and technology companies and their investors navigate complex legal and business issues throughout the corporate life cycle. With a practical and creative focus on his clients’ intended business results, he often functions as an outside general counsel and is regularly consulted by management teams for guidance on strategic matters.

    Adam has over twenty-five years of experience representing clients in seed stage and venture capital financings, public offerings, reverse mergers, PIPEs, mergers and acquisitions, SEC Compliance, and complex commercial transactions. He regularly represents both buyers and sellers in mergers and acquisitions as well as corporations and limited liability companies with respect to financings and general corporate issues that arise throughout the corporate life cycle–from formation to exit.

    While an undergraduate at Yale, Adam played both football and baseball.

    Bill is the Co-chair of the Life Sciences Practice Group. He has extensive experience representing issuers, investors, and investment banks in structuring and executing IPOs, cross-over investments, alternative public offerings, including APOs, reverse mergers and Form 10 transactions, follow-on public offerings, CMPOs, registered directs, PIPEs, and private placements. Bill represents hedge funds, venture capital firms, and private equity firms in customized investments in public companies, including structured PIPEs and registered directs. Bill also represents public companies in public and private financings, SEC compliance, corporate governance, and general counseling.

    Bill has extensive experience representing buyers and sellers in M&A transactions, including public company deals, private company deals, and spin-offs. Bill regularly represents domestic and foreign companies, and he is well-versed in issues specific to cross-border deals.

    Additionally, Bill represents private companies and investors in venture capital transactions.

    Jamie is a Southern California Market Leader in BDO’s Assurance practice and has over 20 years of professional experience serving public and private audit clients in the technology, life science, pharmaceutical, medical device, software, manufacturing, and service industries. Jamie has served a wide range of clients from start-ups to large multi-national Fortune 500 companies. Jamie has also served clients that have customers in the automotive and insurance industries.

    Jamie has extensive experience in revenue recognition, collaborations, business combinations, share-based compensation, complex financial instruments, foreign currency translation, consolidations, non-controlling interest, and SEC reporting. His experience includes:

    – Member of BDO’s national audit innovation and efficiency committees;
    – Serving as a specialist in financial accounting for income taxes;
    – Facilitating local and national trainings on a variety of topics; and
    – Extensive experience with Sarbanes-Oxley (SOX) 404 audits of internal controls.

    Scott is a corporate attorney with extensive experience in mergers and acquisitions, securities offerings, corporate governance, and general corporate matters. His experience includes: structuring and negotiating M&A deals of all sizes; leading public and private securities transactions; serving as primary outside counsel to public and private companies; and advising clients on SEC compliance and other governance matters. He represents companies, boards of directors, and board committees in a wide variety of industries, including software, medical devices, life sciences, semiconductors, manufacturing, consumer products, insurance and financial services.

    In the M&A side of his practice, Scott handles public company mergers, tender offers, hostile takeovers, and many other types of strategic acquisitions and divestitures. His capital markets capabilities include representing issuers and underwriters in public and private offerings of debt and equity securities. He also guides clients through initial public offerings (IPOs), private investment in public equity (PIPE) transactions, registered direct offerings, bond offerings, private placements, and venture financings.

    Scott is a member of the Firm’s Policy Committee.

    Prior to joining Mintz, Scott was a partner in the San Diego office of a global law firm, where he served as chair of the firm’s global corporate practice group from 2010 to 2013. Earlier, he practiced at a California law firm that focused on serving technology and biotechnology clients.

    Melanie provides pragmatic and experienced counsel to public and private companies in a broad range of matters, including initial public offerings and other capital market transactions, fallen angel reverse mergers, corporate governance, public company reporting, mergers and acquisitions and other corporate transactional matters.

    She regularly represents issuers and financing sources in the medical devices, life sciences and healthcare services industries.

    Before joining Mintz, Melanie worked as a health care and science division legal associate for Thomson Reuters. In this position, she collaborated directly with data engineers and technology specialists in the design and implementation of solutions in response to the legislative and regulatory changes implemented by the Obama administration regarding health information exchanges, electronic medical records, and healthcare provider reporting and quality measures.

    Ms. Petty is a Senior Vice President for Donohoe Advisory Associates LLC, where she specializes in advising public and private companies on stock exchange listing matters and related corporate governance issues.

    Prior to joining Donohoe Advisory in February 2005, Ms. Petty served as Senior Counsel in the Office of General Counsel for The NASDAQ Stock Market. Ms. Petty’s primary responsibilities included the oversight of, and participation in, NASDAQ’s listing qualifications hearings process. She began her seven-year tenure with NASDAQ as an attorney within the Office of Listing Qualifications Hearings. In that position, she personally conducted more than 1,600 hearings of appeals by issuers denied initial or continued inclusion on NASDAQ. Ms. Petty has successfully worked with countless companies to resolve listing issues, particularly relating to corporate governance and the implications of financings and corporate restructuring transactions. Ms. Petty also worked with the NASDAQ Listing and Hearing Review Council, a standing committee composed of members of the business community, on the development and promulgation of listing standards and policies, including corporate governance initiatives in response to the Sarbanes-Oxley Act of 2002.

    Ms. Petty graduated from the University of Missouri, Columbia in 1993 and received a J.D. from The John Marshall Law School in Chicago, Illinois in 1997.
