Wynter is a partner in the firm’s Business Litigation practice. She is a seasoned trial attorney whose practice covers all manner of business disputes, including commercial litigation, corporate governance, fiduciary duties, class actions and First Amendment claims. She has helped numerous companies, particularly in the technology, life sciences, financial, and professional services sectors, craft business solutions to a variety of complex legal problems including business fraud, misappropriation of trade secrets, breaches of fiduciary duty, and contract disputes. Wynter has an aggressive but practical approach and litigates with a focus on helping her clients efficiently and cost-effectively achieve their business and litigation goals.

Wynter counsels directors and officers of both public and private companies on corporate governance issues and fiduciary duties. Wynter’s client representation reflects the breadth of her practice. Her clients include directors and officers of manufacturing companies, medical device companies, pharmaceutical and life sciences companies, regulated broker-dealers, investment banking and asset management firms, non-profit and for-profit hospitals, and private foundations.

Wynter has extensive experience representing clients in cases involving allegations of false claims, mail fraud, false statements, public corruption, and campaign finance violations. She has also represented clients in all stages of government investigations, and has conducted internal investigations in the areas of embezzlement, fraud, and Foreign Corrupt Practices Act (FCPA) violations, among others.

A member of the International Association of Privacy Professionals, Wynter counsels clients in proactively assessing and managing risks associated with their privacy, data security, and information management practices. Wynter’s practice focuses on assisting clients in the areas of data breach incident management and response and privacy related litigation, as well as responding to regulatory inquiries related to data security practices.

Eric Shirk

Eric Shirk is the National Leader of Digital Forensics and Cyber Investigations in BDO Consulting’s Forensic Technology Services practice. He has more than 20 years of experience conducting both domestic and international investigations for corporations and their legal counsel in the financial, healthcare and energy industries.

Eric has extensive knowledge and experience assisting clients with investigations involving financial fraud, data breaches, anti-bribery and foreign corruption, whistleblower allegations, intellectual property theft and trademark protection, embezzlement and kickback schemes, litigation intelligence and specialized fact finding.
Experienced in discovery protocols, neutral third party analysis agreements, 26(f) conferences, protective orders, preservation and collection protocols and 30(b)(6) preparations, Eric frequently provides expert witness testimony in both state and federal courts in the areas of intellectual property theft and digital evidence spoliation.

Prior to joining BDO, he was a Managing Director and Technical Consultant for UHY Advisors where he oversaw the firm’s digital forensics practice.  Eric is the sole inventor for a US Patent for “System and Method for Preserving Electronically Stored Information”. This solution is marketed as “Tristan” and allows a layperson to complete a forensic image of a laptop, desktop or server computer.

Daniel T. Carter

Dan has served on the board of directors for WD-40 Company (Nasdaq:WDFC) since early-2016, and he is Chairman of its Audit Committee. He was recognized as an NACD Board Leadership Fellow in June 2018.

Dan retired as Chief Financial Officer of BevMo! Inc. (Beverages & More!) in June 2016 after seven years of elevating systems, strategies and leadership to position this private-equity owned company as a strong pre-IPO candidate.Immediately before joining BevMo!, Dan served as CFO of Semtek, a venture-backed developer of retailer encryption solutions providing protection against payment card data breaches.

His retail career began in 1986 when he joined publicly-traded Price Club (Nasdaq:PCLB), originators of the membership warehouse club, and served as Senior Vice President managing various financial, accounting and reporting functions. Shortly after the 1993 merger with Costco (Nasdaq:COST), Dan served as CFO for Price Enterprises, a new publicly-traded spin-off from Costco, which had significant real estate holdings and was the originator of the PriceSmart business. PriceSmart (Nasdaq:PSMT), operators of international warehouse clubs, was launched as a separate publicly-traded company in conjunction with Price Enterprises’ decision to convert to a REIT in 1997.

A year after joining fast-fashion retailer Charlotte Russe (Nasdaq:CHIC) as CFO in 1998, he took it public and subsequently participated in four secondary offerings on behalf of its private-equity owner.

He earned his accounting degree from the University of Oklahoma in 1979 and earned his CPA certification (currently, inactive) while working at Ernst & Young through 1982.

Dan’s community involvement in San Diego includes 12 years as Trustee for Rady’s Children’s Hospital Foundation, three years as Member of Rady’s Children’s Hospital Audit Committee, three years as Chair of Rady’s Corporate & Community Development Committee, seven years as Board member of San Diego Financial Executives International (FEI) chapter, and 6 years as Member of St. Gregory the Great Pastoral Council.
