The discussion will be facilitated by M&A legal and financial professionals that will tie in current, real-life examples to the board decision-making process. They will provide you with a case study that will allow you to experience the challenges faced when making critical M&A decisions. This session will help you navigate board dynamics, including working with a management team with an interest in the outcome.
The case study being presented follows the potential acquisition of Super G Wireless by Beyond Wireless.
Attendees will be divided into teams representing the buyer or seller boards of directors and will be tasked with assessing the deal.
Once divided into teams, you will discuss all materials and eventually vote on a decision whether or not to move forward with the transaction.
The session offers tools to develop a full range of skills including screening acquisition targets, conducting due diligence, and integrating acquired businesses.

Tax Senior Manager, Transaction Advisory Services; BDO USA, LLP
Scott J. Brantner
Scott is a Tax Senior Manager in the Transaction Advisory Services Group. His practice focuses on tax planning for acquisitions and divestitures of US and non-US organizations as well as the tax implications to shareholders. In addition to transactional tax planning and structuring, Scott also performs tax diligence on buy-side and sell-side acquisitions for private equity and strategic clients, as well as advises clients regarding ownership changes and other technical tax matters and their implications on the potential deal.
Prior to joining BDO, Scott spent approximately 6 years as a member of the West Region Subchapter C Advisory team at Deloitte Tax, LLP, where he advised a wide range of clients on tax structuring, entity rationalization, post-merger integration, worthless stock deductions, the tax treatment of various financial instruments, and ownership changes and their impact on tax attribute utilization. Prior to joining Deloitte, Scott spent time as an internal auditor at Jack in the Box Inc. where he led internal audits focused on improving financial processes and controls, and time as an auditor at KPMG, LLP, where he helped plan and execute financial statement audits of private and public companies.

Paul B. Tom Jones
Tom Jones is a partner in BDO’s Transaction Advisory Services practice with more than 15 years experience in public accounting.
For the past 12 years Tom has focused on advising corporate and private equity clients in the deals space. Tom has extensive experience spanning the whole deal spectrum from initial strategic assessment to valuation, due diligence execution and pro forma modelling, analyzing and reviewing banking models, negotiation of sale and purchase agreements, and resolution of post-close purchase price disputes.
Tom has led both buy and sell side due diligence engagements, ranging in deal size from <$10m to >$4bn, with extensive experience of working on both domestic U.S. and international projects.
Before joining BDO, Tom spent four years as a director in the Transaction Services practice at a Big Four Firm in Los Angeles, prior to which he was with a Big Four Firm in the United Kingdom for nine years.

Jessica Lazur
Jessica L. Lazur is a Senior Associate with Procopio. Her corporate practice focuses on mergers and acquisitions and the representation of companies in their formation and organization, debt and equity financings, securities filings and general corporate matters. She also represents aircraft purchasers and sellers throughout transactions, including assisting buyers in obtaining California sales and use tax exemptions. In addition, Jessica represents pro bono clients, including non-profit corporations, and volunteers her time for non-profit causes.
Prior to joining Procopio, Jessica was an associate at a top international law firm in San Diego, where she handled complex M&A and corporate transactions for a wide spectrum of clients. During law school, Jessica served as the Developments Editor of the NYU Journal of International Law and Politics and interned for an immigration advocacy organization in Washington DC.

Jeff Stine
Jeff is a Senior Manager in the Transaction Advisory Services practice with more than 13 years of public accounting and corporate finance experience, including experience in mergers and acquisitions both in an external, advisory role and an internal, corporate finance role. Jeff has extensive experience advising on both buy and sell side transactions across a wide variety of industries on behalf of both financial and strategic clients.
Prior to joining BDO, Jeff managed the finance function for a publicly held multinational software company’s global acquisition and divestiture activity. This included the carve-out and sale of highly integrated businesses, minority equity investments, negotiation and management of transition services agreements, calculation of purchase price accounting, and integration of acquired entities.
